TERMS AND CONDITIONS

 
These terms and conditions form an agreement between AROTEC Diagnostics Limited (“AROTEC”) and the customer (“Buyer”) with respect to the products Buyer purchases from AROTEC.
 
WEBSITE PRICING: Pricing listed on the www.arodia.com website is only indicative and should not be considered a final price or quoted price. Once an order is placed a confirmation email will be sent confirming both quantities and actual price.  

QUOTATIONS: Quotations are valid for 30 days from date of generation. Pricing is only applicable for the quoted amount in mgs. If a change in volume is required, AROTEC reserves the right to re-issue a new quote with updated pricing.
 
ORDERS: Orders will be accepted by fax, mail or email. Orders may be confirmed but should be marked “CONFIRMATION ONLY”. All orders must contain a purchase order number and the name of the person placing the order. Please include product catalogue number, full product description, unit size, quantity required, billing and delivery address. Specified lot numbers are available on a first-come first-serve basis unless prior agreement with your sales agent. If no lot number is specified, AROTEC will send a product lot of their choosing. AROTEC will work to ensure that only one lot number will be sent for each product.
 
PRICES: Prices are quoted in either US dollars or Euros. Please contact AROTEC prior to placing future orders to ensure current pricing.  Discounts may be available on all products for bulk orders or standing orders.
 
PRODUCT RESERVATION POLICY
 
VALIDATION LOTS: AROTEC can offer validation samples, at a cost, to Buyers to determine if the product is suitable for their needs. A tentative reservation timeline of 8 weeks from customer’s receipt of product, is offered while validation is undertaken. AROTEC will tentatively reserve the requested quantity of the specified lot during this validation. If no confirmation is obtained after 8 weeks, AROTEC will release the reserve and can therefore supply this lot number to other interested parties.
 
If a reservation is confirmed, AROTEC will remove this product from general inventory and store separately. Buyers must adhere to AROTEC Diagnostics’ reservation terms as stated in the reservation agreement document and our terms and conditions.
 
In extreme circumstances, some specified lots may not be available at the amount requested after the validation time period. If this occurs, AROTEC will work with the Buyer to find alternative solutions.
 
HELD RESERVES: AROTEC operates a held reserve option for all Buyers.  Once a reserve is confirmed, the full reserved amount must be called up within 2 years from initial date of reservation. Pricing may be subject to change over the period of reservation. If the reserved amount is not called up within the 2 year time limit, AROTEC reserves the right to ship the outstanding amount of product to the customer and issue an invoice for the shipped products.
 
PAYMENT: Buyer shall pay for all orders strictly Net 30 days from date of invoice. A 1.5% monthly late charge on account balances over 30 days past due will be added to the invoice total from the date of shipment. Payments can be made by bank transfer (details will be provided on invoice). No deductions can be made for bank and clearance charges. AROTEC does not accept payments by cheques. In certain instances, prepayment may be required prior to shipping if AROTEC does not have an established relationship with the Buyer.

FREIGHT:  EX-W, AROTEC Diagnostics Limited facility in Wellington, New Zealand or Distribution centre facilities [Mainz,Germany and Denver,Colorado] sent freight collect or under certain circumstances sent prepaid and added to invoice (please inquire). Products shipped on dry-ice or on gel-ice are subject to an additional packaging charge depending on the number of days the package is in transit. It is the Buyer’s responsibility to notify AROTEC of all necessary documents needed for customs clearance or other purposes. Insurance is the responsibility of the consignee; consignments will not be insured by AROTEC without prior arrangement.

 
RETURNS: Upon Buyer’s receipt of products shipped hereunder, Buyer shall inspect the products and notify AROTEC representative of any claims for shortages, over shipments, damages or defects within fourteen (14) days of receipt. Any product not rejected during such fourteen (14) day period will be deemed to be accepted by Buyer.
 
No returns will be accepted without prior written approval by AROTEC. At that time shipping instructions will be issued to the Buyer to facilitate processing. Only unopened merchandise may be returned. All shipping costs and a 20% handling/restocking fee will be paid by the customer. In certain cases a re-assay fee may be required.
 
Product must be received by AROTEC within ten (10) days after return has been authorised. No return of custom manufactured products will be authorised if the product meets the specification agreed upon prior to shipment. No return of bulk product for which a pilot sample has been provided to, and approved by, the customer before purchase will be authorised.
 
ALTERNATE RIGHT: AROTEC reserves the right to change product specifications (i.e. buffer system and/or additives) as we see fit to maximise product quality and stability. AROTEC will provide 3 months’ notice to the Buyer of such changes prior to release of new product specifications.
 
RESERVATION OF TITLE: All products remain the property of AROTEC Diagnostics Limited until full payment is received by AROTEC.
 
CONDITION OF SALE: Products are for research use or further manufacturing use only.
 
WARRANTY AND LIMITATION OF LIABILITY: AROTEC WARRANTS, TO THE BUYER ONLY, THAT AS OF THE DATE OF DELIVERY THE PRODUCTS PURCHASED BY BUYER HEREUNDER ARE OF THE COMPOSITION AND PURITY DESCRIBED IN AROTEC’S CATALOGUE OR DATASHEETS. EXCEPT AS SET FORTH IN THE FOREGOING SENTENCE, AROTEC MAKES NO WARRANTY OF ANY KIND, EXPRESSED OR IMPLIED, INCLUDING WARRANTY OR MERCHANTABILITY, NON-INFRINGEMENT, OR FITNESS FOR ANY PARTICULAR PURPOSE. THE ENTIRE RISK AS TO THE PERFORMANCE OF THE PRODUCT IS ASSUMED BY THE BUYER. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AROTEC SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES RESULTING FROM THE USE OR FAILURE OF THE PRODUCT EVEN IF AROTEC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE INCLUDING, WITHOUT LIMITATION, LIABILITY FOR LOSS OF USE, LOSS OF WORK IN PROGRESS, DOWN TIME, LOSS OF REVENUE OR PROFITS, FAILURE TO REALISE SAVINGS, LOSS OF PRODUCTS OF BUYER OR OTHER USE OR ANY LIABILITY OF BUYER TO A THIRD PARTY ON ACCOUNT OF SUCH LOSS, OR FOR ANY LABOUR OR ANY OTHER EXPENSE, DAMAGE OR LOSS OCCASIONED BY SUCH PRODUCT INCLUDING PERSONAL INJURY OR PROPERTY DAMAGE.
 
AROTEC’S SOLE AND EXCLUSIVE LIABILITY AND BUYERS EXCLUSIVE REMEDY WITH RESPECT TO PRODUCTS PROVED TO AROTEC’S SATISFACTION TO BE DEFECTIVE OR NON-CONFORMING SHALL BE REPLACEMENT OF SUCH PRODUCT WITHOUT CHARGE OR REFUND OF NO MORE THAN THE PURCHASE PRICE, AT AROTEC’S SOLE DISCRETION UPON THE RETURN OF SUCH PRODUCTS IN ACCORDANCE WITH AROTEC’S INSTRUCTIONS.  NO WARRANTY, REPLACEMENT OR REFUND WILL BE MADE FOR MATERIALS THAT AROTEC HAS DETERMINED, AT ITS SOLE DISCRETION, TO HAVE BEEN RENDERED DEFECTIVE DUE TO IMPROPER USE, STORAGE, ALTERATIONS OR STORAGE BEYOND NORMAL SHELF LIFE OR FOR MATERIALS REMOVED FROM THE ORIGINAL PRIMARY PACKAGING.
 
THE BUYER OF THIS PRODUCT SHALL INDEMNIFY, HOLD HARMLESS AND DEFEND AROTEC AGAINST ANY AND ALL CLAIMS, LIABILITIES, COSTS OR DAMAGES OF ANY KIND ARISING AS THE RESULT OF NEGLIGENCE, FRAUD, MISREPRESENTATION, BREACH OF CONTRACT OR ANY OTHER ACTION BY THE BUYER, AS THE RESULT OF USE OR DISTRIBUTION OF THE PRODUCTS LISTED ON THIS OR OTHER PUBLISHED DATA SHEETS.
